United Kingdom Competition Watchdog Launches Antitrust Investigation Into Depop Acquisition

The United Kingdom's Competition and Markets Authority has formally opened an antitrust investigation into eBay's planned $1.2 billion acquisition of fashion resale platform Depop from Etsy. The British regulatory watchdog launched its official probe following an initial information gathering phase that evaluated how the cross border transaction would alter competitive dynamics in the domestic marketplace, PYMNTS reported. 

The transaction marks a significant retreat for Etsy, which originally purchased Depop in 2021 for roughly $1.6 billion during an e-commerce expansion campaign. Etsy opted to offload the platform at a steep discount to refocus its internal corporate assets on its flagship handmade and vintage marketplace after facing decelerating consumer demand and rising competition from Amazon. Neither corporate legal department nor executive team immediately responded to media requests for comment following the watchdog's announcement.

Corporate legal teams tracking online marketplace consolidation view the intervention as part of heightened international scrutiny surrounding recommerce infrastructure. eBay structured the acquisition specifically to absorb Depop's active user base of Generation Z shoppers and sellers, aiming to scale its market footprint against modern secondhand fashion rivals. The Competition and Markets Authority will evaluate preliminary public commentary before deciding whether to refer the merger to a more rigorous phase of review.
