Regeneron to Acquire 23andMe for $256M to Preserve Consumer Genetics Business and Promote Shared Health Goals

Regeneron Pharmaceuticals has signed an asset purchase agreement to acquire substantially all of 23andMe Holding's assets for $256 million following a bankruptcy auction. The acquisition includes 23andMe’s Personal Genome Service, Total Health, Research Services, and Biobank. The transaction is anticipated to be completed in the third quarter of 2025, pending approval from the bankruptcy court, regulatory authorities, and satisfaction of other customary closing conditions. Regeneron plans to continue 23andMe’s consumer genome services without interruption and will operate 23andMe as a wholly owned subsidiary.

Regeneron brings extensive experience in genetic research through the Regeneron Genetics Center, which has sequenced data from nearly three million participants. The company has committed to maintaining 23andMe’s privacy standards and applicable laws, subject to review by an independent Customer Privacy Ombudsman. Joe Selsavage, Interim Chief Executive Officer of 23andMecommented, “With the support of Regeneron and their deep experience in genetic sequencing, testing and discovery, we look forward to continuing to help people access and understand the human genome for the benefit of customers and patients.”  Legal counsel for the transaction is being provided by Wachtell, Lipton, Rosen & Katz. Regeneron will release further details on operating plans at the time of closing.
