Boeing Sells Digital Aviation Assets to Thoma Bravo for $10.55B

Boeing, an aerospace company, has entered a definitive agreement to sell parts of its Digital Aviation Solutions business to Thoma Bravo for $10.55 billion in cash. The deal includes assets such as Jeppesen, ForeFlight, AerData, and OzRunways, allowing Boeing to sharpen its focus on core operations like fleet maintenance, diagnostics, and repair services. Furthermore, Boeing will retain core digital capabilities that use aircraft and fleet-specific data to provide predictive and prognostic maintenance insights for commercial and defense customers. This ensures Boeing continues to deliver critical technical services while improving its financial strength. “This transaction is an important component of our strategy to focus on core businesses, supplement the balance sheet, and prioritize the investment grade credit rating,” said Kelly Ortberg, Boeing President and Chief Executive Officer. 

Thoma Bravo, a leading software investment firm, expressed strong optimism about the acquisition. Holden Spaht, Managing Partner at Thoma Bravo, stated, “We are proud to be investing in such an important technology platform in the broader aerospace and defense industry.” Scott Crabill, Managing Partner at Thoma Bravo, added, “The business has been through an impressive growth transformation in recent years and has strong momentum.” Approximately 3,900 employees work across the Digital Aviation Solutions organization, which includes both the parts remaining with Boeing and those included in the sale. The transaction is expected to close by the end of 2025, subject to regulatory approvals and customary closing conditions.
